Background
Steve Thomas is a partner in the Ottawa office. He earned a B.A. (Honours) degree from Queen's University and an LL.B. from Osgoode Hall Law School. He was called to the Bar of the Province of Ontario in 1999. He was formerly Senior Legal Advisor with a financial services organization which included an investment dealer, mutual fund manager, trust company and insurance company.
Areas of Practice
- Mr. Thomas’ practice area is business law with a focus on corporate finance, mergers and acquisitions, investment funds, and the regulation of the financial industry.
Professional Experience
- Advised financial industry participants on compliance with applicable laws, rules and policies
- Advised investment fund managers, dealers and investment advisors on legal issues relating to the establishment, offering, administration, merger and termination of a variety of investment vehicles including public mutual funds, pooled funds, labour sponsored investment funds, limited partnerships and group insurance vehicles
- Acted for private issuers and investors in relation to corporate finance matters including equity and secured debt investments, mergers and acquisitions, and in respect of general corporate matters
- Participated in public offerings and securities exchange listings and advised issuers in respect of compliance with securities legislation and the rules of the TSX and TSX Venture Exchange
- Formerly Corporate Secretary to a Federally regulated trust company with responsibility for governance and legislative compliance matters
- Member of Borden Ladner Gervais LLP’s National Securities and Capital Markets Group and National Investment Management Group
